Cumplimiento de la legislación anticorrupción internacional por parte de los socios de Commvault
Commvault expects and requires that all of its contractors, channel partners, consultants, agents and other parties with whom Commvault does business (Commvault Partners), act at all times in a professional and ethical manner in carrying out their services and contractual obligations to Commvault, or on Commvault’s behalf to a Commvault customer or other third party. To that end, all Commvault Partners shall:
- Comply with all country, federal, state and local laws, ordinances, codes, regulations, rules, policies and procedures, including, but not limited to, anti-corruption laws, such as the U.S. Foreign Corrupt Practices Act (FCPA) and U.K. Bribery Act (“Applicable Laws”). - No realizar ninguna acción ni permitir que un proveedor o un tercero realice ninguna acción que pueda hacer que Commvault sea responsable de una infracción de las Leyes aplicables, incluida la FCPA.
- No utilizar el dinero u otra contraprestación pagada por Commvault para ningún fin ilícito, incluidos aquellos que infrinjan la FCPA u otras Leyes aplicables.
- Upon request, Commvault’s Partners may be required to have their own subcontractors, consultants, agents or representatives execute a similar written anticorruption compliance statement, and to confirm to Commvault that such action has been taken.
- The record keeping, audit and other related terms and obligations, as set forth in partners’ agreement(s) with Commvault, shall equally apply to their compliance with this policy.
En ningún caso estará Commvault obligada, en virtud de ningún acuerdo con socios o terceros, a realizar o dejar de realizar ninguna acción que, de buena fe, considere que le haría infringir la FCPA u otras leyes aplicables.
Commvault se reserva el derecho a suspender o rescindir cualquier acuerdo con un socio de Commvault de forma inmediata, previa notificación por escrito, si Commvault considera, de buena fe, que dicho socio de Commvault ha incumplido algún aspecto de la presente política, o si el socio realiza una declaración, manifestación o garantía falsa o fraudulenta en el cumplimiento de sus obligaciones contractuales.
Commvault’s Partners shall immediately report to Commvault any concerns it may have regarding the business practices of any Commvault employee or Commvault Partner.
